With the proliferation of online and electronic shopping in recent years, and continual innovations in transaction methods and forms, online shopping corporations and companies within the alcohol industry have continually suggested the possibility of online alcohol. Thus, &amp;ldquo;online alcohol&amp;rdquo; is the main discussion topic for this conference. How should regulatory measure be implemented in real life and online to prevent minors from obtaining alcohol products? The conference discussions will focus on opening up online alcohol on a trial basis. Relevant ministries, scholars, experts, social network participants and the Executive Yuan&amp;rsquo;s Youth Advisory Group have been invited to take part in the conference. Views and opinions of the general public regarding this issue are now being collected via the polis questionnaire system. The &amp;ldquo;de-identification of personal information&amp;rdquo; is the main discussion topic for this conference. Taiwan leapt from its global open data ranking of 11th place to 1st place in 2015. At the same time, partial amendments to the Personal Information Protection Act were also passed on December 30th, 2015. How can we maintain the right to privacy despite these open data trends? The conference discussions will focus on the methods and risks involved in personal information de-identification. Relevant ministries, scholars, experts, social network participants and the Executive Yuan&amp;rsquo;s Youth Advisory Group have been invited to take part in the conference. There will be 5 main aspects to the white paper: &amp;ldquo;basic environment&amp;rdquo;, &amp;ldquo;transparent governance&amp;rdquo;, &amp;ldquo;smart living&amp;rdquo;, &amp;ldquo;internet economy&amp;rdquo;, and &amp;ldquo;intellectual national territory&amp;rdquo;. Various ministries are now utilizing online discussions and communication via in-person conferences to call for opinions from all parties. The initial draft of the white paper is now near completion. </description><pubDate>Fri, 06 Mar 2015 00:00:00 GMT</pubDate></item><item><title>【Announcements】Draft Amendment of The Company “Act Regarding Closed Corporations” - Draft of Research Commissioned by Executive Departments</title><link>https://www.vtaiwan.org.tw/en/news_detail.aspx?no=82&amp;d=34</link><description>The key to Taiwan&amp;rsquo;s future lies in tech ventures. However, the proliferation of tech ventures depends upon a regulatory basis that enables entrepreneurs and investors to make detailed, comprehensive contractual arrangements and organizational plans that correspond to the high risk nature of the tech venture industry. This facilitates pursuit of the actualization of high future returns. However, many mandatory regulations limit standards of current Company Act pertaining to limited liability and incorporated companies, which drastically limits planning capabilities for entrepreneurs and investors.

The reality is that space for planning of responsibilities and obligations between entrepreneurs and investors is not only a boon for the development of tech ventures but also a need for this space exists for traditional small and medium enterprises as well. Both tech ventures and small and medium enterprises require close coordination and cooperation between shareholders during operations. This is the reason why shareholder structure often appears fairly closed in the initial stages of development, which conforms to the identifying traits of &amp;ldquo;closed corporations&amp;rdquo;, as they are often referred to from an academic standpoint.

Articles of association or shareholders&amp;rsquo; agreements are clearly a better mechanism for arranging the rights and obligations between a company and its shareholders for these types of corporations, as opposed to regulations for incorporated companies put in place by legislators for the sake of large corporations. This is why the draft will significantly relax mandatory regulations that exist in the current Company Act in order to establish a legal environment that meets the needs of developing tech ventures and small and medium enterprises. We look forward to the future, where entrepreneurs and investors will be able to create articles of association or contractual regulations that best benefit corporate operations.

The call for opinions within the Forum is led by the relevant supervisory authorities. This information will be compiled as a reference for supervisory authorities when drafting policies.

In accordance with the program timeline, &amp;ldquo;crowd-funding&amp;rdquo; and &amp;ldquo;closed corporations&amp;rdquo; have been established as current discussion topics.
